A. Terms and Conditions

1 Scope

1.1 These Terms and Conditions of Börner Distribution International GmbH (hereinafter referred to as the “Seller”) apply to all contracts concluded between a consumer or business customer (hereinafter referred to as the “Customer”) and the Seller regarding goods and/or services presented in the Seller’s online shop.
The inclusion of the Customer’s own terms and conditions is hereby excluded unless otherwise agreed.

1.2 A “consumer” within the meaning of these Terms is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession.
A “business” is any natural or legal person or partnership acting in the course of its commercial or self-employed professional activity.

2. Conclusion of Contract

2.1 The product descriptions in the Seller’s online shop do not constitute binding offers but serve as an invitation for the Customer to submit a binding offer.

2.2 The Customer may submit an offer via the online order form. By entering their personal data and clicking the order button, the Customer submits a legally binding offer regarding the goods in the shopping cart.

2.3 The Seller may accept the Customer’s offer within two days by:

– sending an order confirmation (in writing or text form, e.g. email), or

– dispatching the goods, or

– requesting payment.

The contract is concluded when the first of these events occurs. If the Seller does not accept the offer within this period, it shall be deemed rejected.

2.4 The acceptance period begins on the day following submission of the offer and ends at the close of the second day thereafter. If the last day falls on a weekend or public holiday at the Seller’s place of business, the next working day shall apply.

2.5 Order processing and communication are generally carried out via email. The Customer must ensure that the email address provided is correct and that emails from the Seller can be received, including ensuring that spam filters do not block such emails.

3 Return Costs in Case of Withdrawal

If the Customer has a statutory right of withdrawal, the Customer shall bear the direct costs of returning the goods, unless otherwise agreed.

4. Prices and Payment Terms

4.1 All prices stated by the Seller are final prices and include applicable statutory value-added tax (VAT). Any additional delivery and shipping costs are indicated separately in the respective product description.

4.2 The available payment methods are displayed in the Seller’s online shop.

4.3 If advance payment is agreed, payment is due immediately upon conclusion of the contract.

5 Delivery and Shipping Conditions

5.1 Delivery is made to the delivery address specified by the Customer during checkout. The delivery address provided during the order process shall be decisive. If PayPal is used as the payment method, the delivery address stored with PayPal at the time of payment shall apply.

5.2 If delivery fails and the goods are returned to the Seller due to reasons attributable to the Customer, the Customer shall bear the costs of unsuccessful delivery.

5.3 The risk of accidental loss or deterioration of the goods passes to the Customer upon delivery to the Customer or a person authorized to receive them.
If the Customer acts as a business, the risk passes upon handover of the goods to the carrier at the Seller’s place of business.

5.4 The Seller reserves the right to withdraw from the contract in the event of incorrect or improper self-supply. This applies only if the Seller is not responsible for the non-delivery and has concluded a specific covering transaction with due diligence.
In case of non-availability or partial availability, the Customer will be informed immediately and any payments will be refunded without delay.

5.5 If collection is agreed, the Seller will inform the Customer by email when the goods are ready for collection. No shipping costs will be charged in this case.

6 Voucher Conditions

6.1 The voucher “Easter Sale” can be redeemed from March 18, 2024 to May 31, 2024 at www.boerner.de.

6.2 The voucher is valid only for products from the following range: fruit and vegetable slicers > >V5 PowerLine.

6.3 The voucher must be redeemed before completing the order process. Subsequent application is not possible.

6.4 Only one voucher may be used per order.

6.5 The voucher will not be refunded if goods paid for with the voucher are returned within the scope of the statutory right of withdrawal.

6.6 The voucher cannot be combined with other vouchers.

7 Liability for Defects

Statutory liability for defects shall apply.

8 Applicable Law

8.1 All legal relationships between the parties shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
For consumers, this choice of law applies only insofar as it does not deprive them of the protection granted by mandatory provisions of the law of their country of habitual residence.

8.2 If the Customer acts as a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction shall be the Seller’s registered office.
The Seller shall also be entitled to bring proceedings at the Customer’s place of business.

8.3 The contract may be concluded in German and English.
In the event of discrepancies, the German version shall prevail.

9 Dispute Resolution

9.1 The European Commission provides a platform for online dispute resolution (ODR):

Consumers may use this platform to resolve disputes.

2 Essential Characteristics of Goods or Services

The essential characteristics of the goods or services can be found in the respective product descriptions.

3 Conclusion of the Contract

The contract is concluded in accordance with Section 2 of these Terms (see above).

4 Payment and Delivery

Payment is made in accordance with Section 4, delivery in accordance with Section 5.

5 Technical Steps Leading to the Conclusion of the Contract

To submit an order using the seller’s online order form, the customer must follow these technical steps:

5.1 Acceptance by the Seller shall be in accordance with Section 2.3 of the Seller’s General Terms and Conditions (see above).

6 Information Regarding the Storage of the Contract Text

The contract text is stored by the Seller and sent to the Customer after the order is submitted. It is also accessible via the Customer’s account.

7 Correction of Input Errors

Before submitting the order, the Customer may correct entries using standard input devices. All entries are displayed again before final submission.

8 Available Contract Languages

The contract may be concluded in German and English.
In the event of discrepancies, the German version shall prevail.
